These Terms of Service ("Terms") govern your access to and use of the T-Systemm platform and services (the "Service") provided by T-Systemm ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
- "Client" — the organization or individual that subscribes to the Service
- "User" — any individual authorized by the Client to access the Service
- "Client Data" — all data uploaded to or generated within the Service by the Client, including organizational structures, employee information, compensation data, and calculation results
- "Subscription" — the paid plan selected by the Client, as described on our pricing page
2. Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately of any unauthorized access at security@t-systemm.net.
3. Service Description
T-Systemm provides automated compensation distribution tools, including bonus calculation, variable pay modeling, and reporting based on the Client's organizational data and configuration. The Service produces calculations based on the data and parameters you provide — it does not constitute financial, legal, or tax advice. You remain responsible for all final compensation decisions.
4. Subscriptions and Payment
4.1 Plans
We offer multiple subscription tiers as described on our pricing page. Plan features, employee limits, and pricing may vary. The "Bonus" plan is billed as a one-time fee; all other plans are billed monthly or annually.
4.2 Payment
Fees are due in advance according to the billing cycle of your plan. All payments are processed through our third-party payment provider. Prices are listed in USD and exclude applicable taxes.
4.3 Early Access Pricing
Clients enrolled during the Early Access period receive discounted pricing. This pricing is locked for the duration specified at enrollment. After the lock period, standard pricing applies with 60 days' advance notice.
4.4 Refunds
Monthly subscriptions: no refund for the current billing period after 14 days from the start of each cycle. One-time "Bonus" plan purchases: refundable within 14 days if no calculations have been exported. Enterprise plans: governed by the individual agreement.
5. Client Data Ownership
You own your data. T-Systemm does not claim ownership over any Client Data. We process Client Data solely to provide the Service as instructed by you. Upon termination, you may export your data at any time, and we will delete it within 30 days of written request.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations
- Upload data that you do not have the legal right to process
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Share account credentials with unauthorized parties
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to build a competing product
7. Intellectual Property
All rights in the Service, including the software, algorithms, design, documentation, and trademarks, are and remain the exclusive property of T-Systemm. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
The T-Systemm distribution methodology is based on original research and is protected by applicable intellectual property laws.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information. Client Data is treated as confidential by default. We will not disclose Client Data to any third party except as required to provide the Service (see our Subprocessors page) or as compelled by law.
9. Service Availability
We target 99.9% uptime for the Service but do not guarantee uninterrupted access. Planned maintenance windows will be communicated at least 48 hours in advance. Enterprise clients may negotiate a formal SLA.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranty of any kind, express or implied
- We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service
- Our total liability for any claim related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim
- We are not responsible for compensation decisions made based on the Service's calculations — you retain full responsibility for reviewing and approving all outputs
11. Indemnification
You agree to indemnify and hold harmless T-Systemm from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
12. Termination
Either party may terminate the subscription:
- Client: at any time via account settings. Active subscription continues until the end of the current billing period.
- T-Systemm: with 30 days' notice for any reason, or immediately if you materially breach these Terms.
Upon termination, your access to the Service will end. You may export your data before termination or request it within 30 days thereafter.
13. Changes to Terms
We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes via email. If you disagree with the changes, you may terminate your subscription before they take effect. Continued use after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of Ukraine. Any disputes shall be resolved through negotiation first, then through binding arbitration or in the courts of competent jurisdiction in Kyiv, Ukraine. For EU clients, this does not affect your statutory rights under local consumer protection laws.
